New partners

Toronto

The Toronto office welcomes six new partners: Douglass Dawson (Corporate), Emily Gilmour (Tax), Erin Rubin (Technology), Ethan McCarthy (Construction and Infrastructure), Sean Stidwill (Insolvency and Restructuring) and Taylor Cao (Tax).

Douglass is an experienced associate who regularly advises both public and private companies on complex transactions and initiatives with a focus on mergers and acquisitions, strategic transactions and other general corporate matters.

Emily advises on all aspects of corporate income tax, with an emphasis on investment funds, private equity, securities loans, derivatives, international tax planning, mergers and acquisitions and corporate finance transactions. She has experience representing Canadian and foreign financial institutions and other capital markets participants, including providing advice to mutual funds, hedge funds, ETFs, investment banks and pension plans.

Erin specializes in complex commercial transactions involving technology products, services, business processes and strategic partnerships. She advises on regulatory and legal issues in areas including artificial intelligence, data protection, open banking, licensing and OSFI B-10 compliance.

Ethan’s work is focused on the procurement, design, engineering, construction and administration of a broad range of energy, commercial and industrial construction and infrastructure projects, including overall project structuring and preparation and negotiation of contracts and related procurement documents required to successfully deliver these projects.

Sean practices corporate and commercial law, focusing primarily on the areas of corporate restructuring, secured transactions, distressed acquisitions and divestitures, the enforcement of debtor and creditor rights, liquidations and bankruptcy. His experience includes representing debtor corporations, purchasers, lenders and court officers in complex national and cross-border restructurings and insolvencies.

Taylor’s practice includes all areas of corporate income tax planning, with a particular emphasis on cross-border and domestic mergers and acquisitions, corporate reorganizations, corporate finance and international tax issues.

Montréal

The Montréal office introduces three new partners: Caroline Stephens (Real Estate), Ilia Kravtsov (Insolvency and Restructuring and Disputes) and Jean-Philippe Bertrand (Corporate).

Caroline’s practice covers all aspects of commercial real estate law, including real estate transactions, construction law, financing and real estate components in major merger and acquisition transactions. She also assists landlords and tenants in the drafting, review and negotiation of commercial leases.

Ilia is cross appointed to the Insolvency and Restructuring and the Disputes departments. His practice involves corporate, commercial and civil litigation, with a particular focus on restructuring and insolvency and extraordinary proceedings.

Jean-Philippe practices corporate and securities law, with an emphasis on mergers and acquisitions, corporate finance and corporate governance. He has extensive experience acting for private and public companies in Canadian, U.S. and international transactions, including mergers and acquisitions, dispositions, public offerings, auctions, carve-out transactions, strategic investments, recapitalizations, reorganizations, joint ventures and other corporate matters.

Calgary

The Calgary office welcomes four new partners: Adam LaRoche (Privacy and Data Management and Employment and Labour), Catherine Hamill (Employment and Labour), Jacob Young (Emerging and High Growth Companies) and Kaitlin Gray (Tax).

Adam advises clients regarding provincial and federal privacy legislation and complaints made to privacy regulators, and has acted as lead counsel through federal and provincial inquiries and investigations. Adam practices out of both of our Calgary and Vancouver offices.

Catherine provides strategic advice to employers in all areas of employment and labour law. She helps clients mitigate legal risks and implement best practices for developing and maintaining workplace policies and for complying with employment standards, human rights and workplace safety laws. Catherine practices out of both of our Calgary and Vancouver offices.

Jacob focuses on mergers and acquisitions and corporate finance in the technology industry. He works extensively with startup and early-stage technology companies and venture capital investors on incorporation and organization matters, corporate governance and general corporate matters, commercial arrangements, early- and growth-stage venture capital and private equity financing arrangements and exit transactions, including strategic acquisitions and initial public offerings.

Kaitlin’s advisory practice focuses on transfer pricing, international tax and dispute resolution. She has experience developing transfer pricing policies, managing complex audits and handling tax litigation and competent authority applications for companies with cross-border business operations.

Vancouver

The Vancouver office congratulates Minji Park (Corporate) on becoming a new partner.

Minji’s practice focuses on corporate and securities law with an emphasis on capital markets transactions, including mergers and acquisitions, public offerings, private placements and corporate reorganizations. She advises on securities regulatory compliance, stock exchange matters, continuous disclosure obligations and corporate governance along with general corporate matters.

New counsel

Osler is also proud to announce the admission of Calgary-based associate Aarabhi Chari (Financial Services) and Toronto-based associates Andrew Irwin (Emerging and High Growth Companies) and Lindsay Rauccio (Disputes) to the role of counsel, effective March 1, 2025.

Aarabhi advises borrowers, lenders, developers, landlords, tenants and other clients on various matters including development, acquisitions, dispositions, leasing and secured debt financing.

Andrew’s practice focuses on advising entrepreneurs, startups and venture-backed technology companies at all stages of their growth trajectory, as well as the venture capital firms and strategic investors that finance them.

Lindsay has experience in a broad range of corporate-commercial litigation matters, including contractual disputes, construction and infrastructure (including nuclear and wind energy projects), class actions, product liability, administrative and regulatory issues, as well as environmental law and litigation.
